Terms of Service

The agreement between you and Tonnes Africa, including acceptable use and partner terms.

Terms of Service

These Terms govern your use of Tonnes Africa's apps, websites and services, including the Acceptable Use Policy and the Partner Agreement.

1. Definitions & Acceptance

  1. 1“Tonnes Africa” refers to Tonnes Africa Limited, a company incorporated under the laws of the Federal Republic of Nigeria, operating the Tonnes Africa apps, websites and related services (the “Platform”).
  2. 2“Services” means the mobility, logistics, marketplace, rental, tutorship, investment, credit, donation and support services described in Section 4, as they evolve over time.
  3. 3“Partner” means any vetted independent supplier, driver, dispatch rider, haulier, shipping company, artisan, restaurant, tutor or professional listed on the Platform. “You” means any customer, investor or partner.
  4. 4By creating an account, placing an order, making a booking, investing or otherwise using the Platform, you accept these Terms (which include the Acceptable Use Policy and, for partners, the Partner Agreement), together with the Privacy Policy, Cookie Policy, Refund & Cancellation Policy and the Indemnity Policy.
  5. 5If you use the Platform on behalf of a business, you confirm you are authorised to bind that business to these Terms.
  6. 6We may update these Terms from time to time; your continued use after notice of a material change constitutes acceptance of the updated Terms.

2. The Platform & Our Role

  1. 1Tonnes Africa is a technology platform that connects people, businesses and goods. We facilitate discovery, quotations, bookings, payments, tracking and support, while services are performed by independent partners.
  2. 2Unless expressly stated, Tonnes Africa is not a carrier, warehouse operator, taxi company, bank, broker, investment adviser, insurer or employer of any partner.
  3. 3Partners are independent contractors solely responsible for their goods, services, vehicles, personnel, taxes and regulatory compliance.
  4. 4We verify partners at onboarding and continuously monitor quality, but we do not guarantee any partner's performance, availability or fitness for your purpose.
  5. 5Descriptions, images and specifications of goods and services are supplied by partners; we make reasonable efforts to ensure accuracy but do not warrant it.

3. Accounts & Eligibility

  1. 1You must be at least 18 years old and legally capable of entering binding contracts.
  2. 2You must provide accurate, complete and current registration details and keep them updated.
  3. 3You are responsible for safeguarding your credentials, passwords and devices; activity under your account is presumed to be yours.
  4. 4We may require identity verification (NIN, Voter's Card, Driver's License or equivalent) and may suspend accounts that fail verification.
  5. 5You may not create or operate multiple customer accounts or transfer your account to another person.

4. The Services

  1. 1Move — Book a Ride (Taxi/Bus): connects you with vetted passenger transport partners; fares and surcharges are quoted upfront and verified at payment.
  2. 2Move — Dispatch: on-demand parcel and small-item delivery between locations, with waybill tracking and scan-confirmed status updates.
  3. 3Move — Haulage & Logistics: bulk and heavy-goods movement through vetted hauliers and shipping companies, including scheduled and contract movements.
  4. 4Rent — Vehicle Rentals, Equipment Hire & Warehouse Rentals: short- and long-term hire of vehicles, heavy equipment and warehouse space from vetted partners.
  5. 5Shop: a marketplace for goods, commodities, groceries and restaurant meals, where orders are placed, paid and tracked through the Platform.

  7. 7TonnesFind: a directory of vetted professionals, artisans, towing providers and ambulance services, including artisan bookings.
  8. 8Courses: tutorship and learning experiences, both free and paid; paid content is unlocked only after verified enrollment and payment.
  9. 9TonnesInvest & TonnesCredit: connect investors with vetted opportunities and facilitate credit applications to third-party lenders — see Section 11.
  10. 10TonnesEarth: facilitates voluntary donations to environmental and community causes.
  11. 11TonnesRadar: AI-powered commodity price intelligence provided for information only — not trading, investment or pricing advice.
  12. 12We may add, modify or discontinue any service, feature or geography, and will give reasonable notice where possible.

5. Bookings, Fulfilment & Claims

  1. 1A booking or order is formed when your payment succeeds and a confirmation is issued; quoted prices are binding unless an evident pricing error is corrected before dispatch.
  2. 2Partners must fulfil bookings promptly and to the standard described in their listing; delays and failures are handled under our cancellation and refund rules.
  3. 3Delivery is confirmed by waybill scan or customer acknowledgement; goods are at your risk from the moment of delivery confirmation.
  4. 4You must inspect goods at delivery and report damage, shortage or loss within 48 hours, with evidence (photos or waybill notations), to qualify for a claim.
  5. 5We will facilitate claims between you and the partner fairly and promptly, but final liability for loss or damage rests with the partner unless caused by our own negligence.
  6. 6Missed deliveries caused by inaccurate address or customer unavailability may attract re-delivery fees.

6. Pricing, Payments, Escrow & Settlement

  1. 1All prices are quoted in Nigerian Naira (NGN) unless stated otherwise, and include applicable platform surcharges shown before you pay.
  2. 2Payments are processed securely through our licensed payment partner (Paystack); we never store your full card details.
  3. 3Funds for marketplace orders are held in escrow and released to the partner after delivery confirmation, less applicable platform fees.
  4. 4Platform fees, delivery fees and workman fees are disclosed transparently on each order before payment.
  5. 5Partners are settled according to the agreed settlement cycle in the Partner Agreement below, with itemised remittance records.
  6. 6You may not dispute or reverse a payment except through legitimate chargeback or refund processes; abuse of chargebacks may lead to suspension.
  7. 7Fraudulent payment activity may result in order cancellation, account suspension and referral to the authorities.

7. Cancellations, Returns & Refunds

  1. 1Orders and bookings may be cancelled before dispatch or provider assignment in line with the Refund & Cancellation Policy.
  2. 2Approved refunds are returned to the original payment method or Tonnes wallet within 5–10 business days.
  3. 3Returns of shop goods must be initiated within 7 days of delivery and meet the seller's returns terms agreed at listing.
  4. 4Partner no-shows, failures or substandard fulfilment qualify you for a full or partial remedy as assessed by our Trust & Safety team.

8. Partner Obligations

  1. 1Partners must complete onboarding, submit valid documentation (identity, permits, licences, CAC where applicable) and pass staff review before listing or fulfilling.
  2. 2Partners must maintain fair pricing, honest listings and timely fulfilment, and honour agreed returns terms.
  3. 3Partners must maintain all legally required licences, permits, insurance and vehicle roadworthiness, and comply with the anti-counterfeit, anti-theft and anti-money-laundering measures declared at onboarding.
  4. 4Partners must keep status updates, waybill scans and availability information accurate at all times.
  5. 5Partners indemnify Tonnes Africa against claims arising from their goods, services, personnel or conduct.
  6. 6We may suspend or remove partners for violations, poor performance or safety and compliance concerns, without prejudice to payouts already earned.

9. Acceptable Use & Prohibited Conduct

  1. 1You must not list, sell, ship, send or transport illegal, counterfeit, restricted, hazardous or unsafe goods.
  2. 2No illicit drugs, narcotics, firearms, weapons, ammunition, explosives, smuggled substances or contraband of any kind may be sent, shipped or transported through Tonnes Africa Limited. Senders are solely responsible and liable for the contents of any consignment and, where such items are discovered by the authorities, the sender will be held accountable and agrees to indemnify Tonnes Africa Limited against any involvement, claim, penalty or loss arising from the shipment.
  3. 3You must not harass, threaten, defame or impersonate others, or use hate speech anywhere on the Platform.
  4. 4You must not scrape, data-mine, overload or attempt to breach the Platform's security, or access another user's data or account.
  5. 5You must not circumvent payments, transact off-platform to avoid fees, or manipulate ratings, reviews or referrals.
  6. 6We cooperate with law enforcement and regulators where required, and may report unlawful activity.
  7. 7Violations may result in immediate removal and, where appropriate, referral to authorities.

10. Content, Intellectual Property & Reviews

  1. 1The Platform, its software, brand, logo and design are and remain the property of Tonnes Africa Limited; you receive a limited, revocable licence to use the Platform for its intended purpose.
  2. 2You retain rights to content you submit (listings, reviews, portfolio images) and grant us a worldwide, non-exclusive licence to host and display it for operating the service.
  3. 3You must not use our trademarks or brand assets without written permission.
  4. 4Reviews and ratings must be honest, lawful and based on genuine experiences; we may remove content that is false, abusive or off-topic.
  5. 5In-app communications may be monitored for safety, fraud prevention and dispute resolution.

11. Investments, Credit, Donations & Promotions

  1. 1TonnesInvest connects investors with opportunities in vetted businesses. Investments carry risk, including total loss of capital; past performance never guarantees future results.
  2. 2Nothing on the Platform constitutes investment, legal, tax or financial advice. Make your own assessment or seek independent professional advice before investing.
  3. 3TonnesCredit facilitates credit applications; credit decisions, pricing and collections rest with the third-party lender.
  4. 4Donations to TonnesEarth causes are voluntary; once processed they are disbursed to the selected cause and are not refundable except in cases of fraud.
  5. 5Referral rewards and promotions may have eligibility conditions and may be revoked where abuse is detected.

12. Disclaimers, Liability & Insurance

  1. 1The Platform is provided “as is” and “as available”; we do not warrant uninterrupted, error-free or secure operation, except as required by law.
  2. 2To the extent permitted by law, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement.
  3. 3Our aggregate liability for claims is limited to the greater of the amounts you paid us in the preceding 12 months or ₦100,000, except for death or personal injury caused by our negligence, fraud, or anything else that cannot be limited by law.
  4. 4We are not liable for indirect, incidental, special or consequential losses, or loss of profit, data or goodwill, to the extent permitted by law.
  5. 5Liability for rented assets, stored goods and customer property is set out in the Indemnity Policy, which forms part of these Terms.
  6. 6Partners must hold insurance appropriate to their service (vehicle, goods-in-transit, professional indemnity); customers are encouraged to arrange their own cover for high-value goods.

13. Suspension, Termination & Changes

  1. 1We may suspend or restrict accounts that breach these Terms, applicable law or the rights of others, or that pose a safety, fraud or security risk.
  2. 2You may stop using the Platform at any time and may request deletion of your account via the support channel, subject to our record-keeping obligations.
  3. 3Upon termination, provisions that should survive — including payment obligations, indemnities, intellectual property and dispute clauses — remain in force.
  4. 4We may modify or discontinue any service or these Terms; we will give reasonable notice of material changes through the Platform.
  5. 5These Terms, together with the policies referenced in them, form the entire agreement between you and Tonnes Africa regarding the Platform.

14. Governing Law, Disputes & Contact

  1. 1These Terms are governed by the laws of the Federal Republic of Nigeria.
  2. 2Disputes are resolved per the Dispute Resolution page: in-app support first, then mediation, then arbitration in Lagos, Nigeria.
  3. 3If any provision is held invalid, the remaining provisions stay in force.
  4. 4You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or restructuring.
  5. 5We are not liable for failures caused by events beyond our reasonable control (force majeure), including natural disasters, strikes, network or power failures.
  6. 6Questions or notices: reach us through the support channel or WhatsApp at +234 907 091 0373.

15. Partner Agreement

  1. 1Partners must complete onboarding, submit valid documentation and pass staff review before listing or fulfilling, and agree to fair pricing, honest listings and timely fulfilment.

  3. 3Settlement is made per the agreed settlement cycle, less applicable platform fees, with itemised remittance records available in the partner portal.
  4. 4Partners grant Tonnes Africa a licence to display their listings, brand and portfolio content on the Platform and in related marketing.
